This document is a public offer. Acceptance of the Offer in the manner set out in Section 3 means that the Agreement is concluded on all of its terms without exception or reservation. An Agreement concluded by acceptance of the Offer is equivalent to an agreement made in writing.

1.3. Programme means a set of courses or modules sold as a single offer.
1.4. Module means a part of a course or programme published separately.

2. Subject of the Agreement
2.1. The Provider renders paid online training services to the Customer: it gives access to the selected courses, programmes or modules (lessons, interactive trainers, videos, course book files) and to the online exam, and on passing the exam issues a Certificate verifiable on the Site. The Customer pays for the services.
2.2. The content of a course, the number of seats and the price are those stated on the Site or in the Quotation at the moment of acceptance.

2.4. The Academy is not an educational organisation and does not hold a licence for educational activities. The training is not state or state-accredited education. Certificates are issued by the Academy itself and are not state education or qualification documents.
2.5. The Academy provides independent training and is not affiliated with equipment manufacturers. Brand and model names are used only to identify equipment.
2.6. The services are provided to individuals and legal entities in any country. The Customer is responsible for ensuring that receiving the services is permitted under the law of its country.
3. Acceptance of the Offer and Conclusion of the Agreement
3.1. Payment for the services by one of the methods set out in Section 4 constitutes acceptance of the Offer.
3.2. The Agreement is concluded when payment is received: for payment by invoice, when the funds are credited to the Provider's account; for card payment, when the payment is confirmed by the payment service.
3.3. By paying, the Customer confirms that it has read and accepts the Offer and the Terms of Use, Privacy Policy and Refund Policy published on the Site.
3.4. Where the Customer is a legal entity, the person making the payment or requesting the invoice confirms that he or she is authorised to act on the Customer's behalf.
4. Price and Payment
4.1. The price of the services is the price stated on the Site or in the Quotation at the moment of acceptance. Prices are stated in US dollars.
4.2. The Provider is not a VAT payer; no VAT is charged on the price of the services.

4.4. For payment by invoice in tenge, the US dollar amount is converted at the official rate of the National Bank of the Republic of Kazakhstan on the invoice date. The invoice is valid for the period stated in it.
4.5. For card payments, Lemon Squeezy acts as merchant of record and reseller. Lemon Squeezy's terms apply to the payment; Lemon Squeezy issues the receipt and may add sales taxes where the law of the buyer's country requires it.
4.6. Fees of the Customer's bank and intermediary banks are paid by the Customer.
4.7. Price changes on the Site do not affect services already paid for.
5. Access, Seats and Access Period
5.1. Access to a course is opened no later than 3 (three) working days after payment is received; for card payments, normally immediately after payment.
5.2. Access to each course lasts 12 (twelve) months from the date access is opened, unless a different period is stated on the Site or in the Quotation.
5.3. A team purchase is a purchase of a number of seats. Each seat is for one named engineer. The Customer's manager or authorised person gives the Provider the e-mail addresses of the engineers for whom access is to be opened.
5.4. An engineer on a seat may be replaced, as long as that engineer has not started the final exam, on the Customer's written request to ceo@serviceengineer.app.
5.5. The Provider may update, correct and extend course content without the Customer's consent, provided the stated scope of the course is not reduced.
6. Early Access and Pre-orders
6.1. Some modules and programmes are marked on the Site as “early access” or “coming soon”. The Customer may pre-order them at the early-access price.
6.2. Access to each pre-ordered module opens when that module is published on the Site.
6.3. The Academy publishes a target publication date on the Site. That date is indicative only and is not a deadline for performance.
6.4. If a pre-ordered module is not published within 6 (six) months of payment, the Customer may request a refund of the part of the payment attributable to the unpublished modules.
6.5. The access period for a pre-ordered module (clause 5.2) runs from the date access to that module is opened.
7. Final Exam and Certificate
7.1. The final exam is taken online on the Site. Exam conditions and the pass mark are stated in the course description.
7.2. On passing the exam, the Academy issues a Certificate with a unique number. Certificate details (name, course, score, date, number) are published on a public verification page on the Site.
7.3. The Academy may revoke a Certificate if the exam was taken by another person or in breach of the exam conditions; the verification page will show the revocation.
8. Rendering and Acceptance of Services
8.1. The services are deemed rendered when access to the course, programme or module is opened.
8.2. For legal entities, the Provider issues an electronic act of services rendered and sends it to the Customer's e-mail address.
8.3. If the Customer does not send a reasoned objection within 5 (five) working days of the date the act was sent, the act is deemed signed and the services accepted without objection.
9. Refunds
9.1. The Customer is entitled to a full refund of the price of a course if it applies within 14 (fourteen) calendar days of payment and the final exam of that course has not been started.
9.2. Once the final exam of a course has been started, no refund is given for that course.
9.3. Team purchases: within 14 (fourteen) calendar days of payment, the price of the seats whose engineers have not started the final exam is refunded.
9.4. Refunds for pre-ordered modules are governed by clause 6.4.
9.5. To request a refund, the Customer writes to ceo@serviceengineer.app quoting the order or invoice number. For card payments, Lemon Squeezy refunds to the original payment method; for payments by invoice, the Provider refunds to the bank account from which payment was made, within 10 (ten) working days of the request, in the currency in which payment was received.
9.6. After a refund, access to the relevant course or seat is closed.
10. Rights and Obligations of the Parties
10.1. The Provider shall: open access within the periods in Section 5; keep the Site and courses available during the access period, except for maintenance and interruptions not caused by the Provider; issue a Certificate on passing the exam; answer the Customer's requests by e-mail.
10.2. The Customer shall: pay for the services; use access only within the paid seats; not share learner accounts or login details with other persons; not pass course files or materials to persons for whom no seat has been paid; not publish, copy for distribution, sell or adapt course materials.
10.3. All course materials are subject to the exclusive rights of Service Engineer Ltd. The Customer receives a non-exclusive right to use them for the personal training of the paid engineers during the access period. No other rights are granted.
10.4. In case of breach of clause 10.2, the Provider may suspend or close access for the relevant learner account without refund, after giving notice to the Customer's e-mail address.
11. Liability
11.1. Course materials are educational. They do not replace the equipment manufacturer's documentation, procedures, safety requirements or training. The Customer and its engineers must follow the manufacturer's instructions, applicable standards and local regulations and work only within their competence and authorisation.
11.2. The Provider is not liable for the consequences of work on equipment performed by the Customer, its personnel or any other persons, including work performed using course materials.
11.3. The Provider's total liability under the Agreement is limited to the amount actually paid by the Customer for the relevant course, programme or module.

12. Force Majeure

12.2. The affected Party notifies the other Party by e-mail within 10 (ten) calendar days. Confirmation is a document of the Chamber of Commerce and Industry of the Republic of Kazakhstan or of a competent state authority, or publicly available information about the circumstance.
12.3. If such circumstances last more than 60 (sixty) calendar days, either Party may withdraw from the Agreement; in that case the Customer is refunded the price of services not rendered.
13. Disputes and Governing Law
13.1. The Agreement is governed by the law of the Republic of Kazakhstan.
13.2. The claim procedure is mandatory. A claim is sent to the other Party's e-mail address; the response period is 10 (ten) working days from its receipt.
13.3. If a dispute is not resolved through the claim procedure, it is heard by the court of the Republic of Kazakhstan at the Provider's location (Astana).
14. Term, Changes to the Offer, Notices and Miscellaneous
14.1. The Agreement is in force from acceptance until the Parties have fully performed their obligations.
14.2. The Provider may amend or withdraw the Offer by publishing a new version on the Site stating its effective date. The new version applies to agreements concluded after that date; services paid earlier remain subject to the version in force at the time of payment.
